(TSE: 4967) is pleased to announce proposals regarding the appointment of new directors and auditors decided at the Board of Directors' meeting held on May 24th, 2004. Resolutions, elections and retirements are due to be conducted at the regular meeting of shareholders' and the subsequent meeting of the Board of Directors due to be held on June 29th, 2004.
Chairman and Representative Director
Kazumasa Kobayashi, presently President and Representative Director, has been nominated to the post of Chairman and Representative Director. Mr. Kobayashi was born in Hyogo Prefecture in 1939. Mr. Kobayashi graduated from the Faculty of Economics, Konan University, in March 1962, and studied at Columbia University, U.S.A, in April, 1965. He joined Kobayashi Pharmaceutical Co., Ltd., in March 1962 as Manager of Head Office Organizational Planning Department and Chief of Planning and Promotion Section. In October 1966, he was appointed Company Director, and in November 1970, Managing Director, Product Business Division Manager. In December 1976, Mr. Kobayashi was appointed President and Representative Director, his current position. His membership of industry organizations include Chief Adviser, Osaka Household Medicine Manufacturers' Association, Executive Director, Home Medicine Association of Japan, and Director, Japan Self-Medication Industry Association. His hobbies include golf and travel.
President and Representative Director
Yutaka Kobayashi, presently serving as Vice president and Representative Director concurrently with the position of Product Business Division Manager, has been nominated to the position of President and Representative Director. Mr. Kobayashi was born in Hyogo Prefecture in 1945 and graduated from Faculty of Literature, Konan University in March 1968. He joined Kobayashi Pharmaceutical in March 1968. He became Director and Overseas Business Division Manager in December 1976, and Commercial Operations Division Deputy Manager and Overseas Business Division Manager in July 1981. Mr. Kobayashi became Managing Director, Commercial Operations Division Manager, in December 1982, and Senior Managing Director in December 1985. In December 1992, Mr. Kobayashi was appointed Director and Vice-President, and in June 1999, Vice President and Representative Director, his current position. His hobbies include golf, and reading.
The President and representative director will strive to strengthen the Board of Directors, concentrate on the function of management supervision, and attempt to further reinforce the Company's corporate governance systems.
