Showa Denko (SDK) Announces Changes in Corporate Management

Tokyo, Dec 3, 2013 - (JCN Newswire) - Showa Denko (SDK) (TOKYO:4004) decided at its board meeting today on changes in corporate management.

Shinji Sakai, currently President of Shoko Co., Ltd., will be elected Representative Director, Executive Vice President, and Corporate Officer of SDK at the next shareholders' meeting in late March 2014 as well as the board meeting subsequent to the shareholders' meeting. He will supervise the Ceramics and Carbons divisions and the Corporate Strategy Department. Through this appointment, SDK aims to further strengthen its management supervision. His biographical information is attached at the end of this news release. Mitsuo Ohashi will resign as Senior Advisor and become Senior Counselor in late March 2014.

Yoshikazu Sakai will resign as Chief Financial Officer, and Corporate Officer in charge of Finance & Accounting and Information Systems departments, on January 5, and become Assistant to President on January 6. He will resign as Director at the shareholders' meeting in March and become Standing Statutory Auditor of Shoko Co., Ltd. Hirokazu Iwasaki will resign as Corporate Officer in charge of complex and plants (Oita Complex and Kawasaki, Higashinagahara, Tokuyama, Isesaki, Tatsuno, Yokohama, Shiojiri, Chichibu, Omachi, Oyama and Kitakata plants), on January 5, and become Assistant to President on January 6. He will resign as Director at the shareholders' meeting in March and become Counselor of
SDK.

Saburo Muto (Corporate Officer, General Manager, Finance & Accounting Department) will be appointed Chief Financial Officer on January 6, and take charge of Finance & Accounting and Information Systems departments. He will be elected Director at the shareholders' meeting in March.

Takashi Miyazaki will resign as Managing Corporate Officer and General Manager of Petrochemicals Division and Olefins Department on January 5, and become Special Counselor of Shoko Co., Ltd., on January 6. He will be elected President of Shoko Co., Ltd., in March. Shunichi Shiraishi will also resign as Managing Corporate Officer in charge of Aluminum Rolled Products, Aluminum Specialty Components, and Aluminum Can divisions on January 5. He will be appointed Standing Statutory Auditor of Showa Aluminum Can Corporation in March.

Two new corporate officers will be appointed on January 6. They are Junichi Inaizumi (General Manager, Aluminum Specialty Components Division) and Yoichi Takeuchi (General Manager, Production Technology Department). Takeuchi will become Oita Complex Representative effective January 6.

Kazumi Naito (Corporate Fellow, General Manager, Naito Research Laboratory, Institute for Advanced and Core Technology, Business Development Center) will be promoted to Senior Corporate Fellow on January 6.

Hideo Yashima will resign as Corporate Fellow (Legal & Intellectual Property Department) on January 5 and become Counselor of Legal & Intellectual Property Department on January 6. Mitsunori Nakano will resign as Corporate Fellow and General Manager, Functional Chemicals Division, on January 5 and become Counselor of Functional Chemicals Division on January 6. Yoshihiko Matsumoto will also resign as Corporate Fellow (General Affairs & Human Resources Department / Japan Chemical Industry Association) on January 5 and work for Japan Chemical Industry Association as from January 6. Norihide Mukasa will resign as Corporate Fellow, General Manager of Industrial Gases Division, and President of Showa Denko Gas Products Co., Ltd., on January 5 and become Special Counselor of Showa Denko Gas Products Co., Ltd., on January 6. Meanwhile, Koichi Nishimura (General Manager, Basic Chemicals Division) will be appointed Corporate Fellow on January 6, and serve as General Manager of Industrial Gases Division, and President of Showa Denko Gas Products Co., Ltd.

As of late March next year, the Board of Directors will consist of Kyohei Takahashi (Representative Director; Chairman of the Board), Hideo Ichikawa (Representative Director; President and CEO); Shinji Sakai (Representative Director; Executive Vice President); Akira Koinuma, Shunji Fukuda, Masaru Amano, and Saburo Muto (Directors); as well as Tomofumi Akiyama and Akiyoshi Morita (Outside Directors). In addition, Ichiro Nomura and Akira Sakamoto will serve as Standing Statutory Auditors, and Hiroyuki Tezuka, Yukio Obara, and
Kiyomi Saito as Outside Auditors.

Furthermore, there will be the following changes in responsibilities of corporate officers effective January 6:

Yoshiharu Mizuno will take charge of complex and plants (Oita Complex, and Kawasaki, Higashinagahara, Tokuyama, Isesaki, Tatsuno, Yokohama, Shiojiri, Chichibu, Omachi, Oyama, and Kitakata plants) in addition to Ceramics and Carbons divisions. Kanji Takasaki (Assistant to President in charge of special assignment matters) will supervise Aluminum Rolled Products, Aluminum Specialty Components, and Aluminum Can divisions. Tatsuharu Arai (Oita Complex Representative) will serve as General Manager of Petrochemicals Division and Olefins Department.

Meanwhile, Corporate Fellow Hiroshi Uchida (General Manager, Uchida Research Laboratory, Institute for Polymers and Chemicals, Business Development Center) will move to Institute for Advanced and Core Technology, Business Development Center, on January 6, while continuing to serve as General Manager, Uchida Research Laboratory.
